CONSTITUTION AND BY-LAWS
AMERICAN SOCIETY OF CIVIL
ENGINEERS
HAWAII SECTION

CONSTITUTION
ARTICLE I. NAME AND OBJECT
Section 1. The name
of this organization shall be the American Society of Civil Engineers,
Hawaii Section.
Section 2. The objective
of the Hawaii Section shall be the advancement of the science and profession
of engineering, in a manner consistent with the objectives of the American
Society of Civil Engineers.
ARTICLE II. MEMBERSHIP
Section 1. All members of
the American Society of Civil Engineers of all grades, subscribing to the
Constitution and By-Laws of the Hawaii Section, as evidenced by having
met the dues requirements of the Hawaii Section, shall be members of the
Hawaii Section. All members of the American Society of Civil Engineers
of all grades, whose addresses are within the boundaries of the Hawaii
Section, as defined by the Society, shall be Assigned Members of the Hawaii
Section.
Section 2. Only subscribing
members shall have the right to vote, to hold office, to serve on committees,
or to represent the Hawaii Section officially.
ARTICLE III. DUES
Section 1. There shall be
no entrance fee.
Section 2. The annual
dues of each member shall be established by the By-Laws of the Hawaii Section.
ARTICLE IV. OFFICERS
Section 1. The officers shall
be a President, a President-Elect, a Vice-President, a Secretary, a Treasurer
and a Younger Member Forum President, who with the latest resident Past-President
shall constitute the Executive Committee in which government of the Hawaii
Section shall be vested.
ARTICLE V. MEETINGS
Section 1. The Annual Meeting
shall be held on such date in October and at such place as the Executive
Committee designates. Other meetings shall be called at the discretion
of the Executive Committee, or by the President upon the written request
of at least eight members. There shall be a minimum of eight meetings
during the calendar year.
ARTICLE VI. BY-LAWS
Section 1. The Hawaii Section
may adopt By-laws consistent with this Constitution for the guidance of
officers and members.
ARTICLE VII. AMENDMENTS TO
CONSTITUTION
Section 1. This Constitution
may be amended only by the following procedure:
(a) The proposed amendment
shall be voted upon by letter ballot, by a majority of the members of the
Hawaii Section.
(b) It shall receive an affirmative
vote of not less than two-thirds of the members voting.
(c) To become effective it
shall receive the approval of the Board of Direction of the Society.
ARTICLE VIII. MISCELLANEOUS
PROVISIONS
Section 1. No part of the
net earnings of the Hawaii Section shall inure to the benefit of any private
shareholder or individual and no substantial part of the activities of
the Hawaii Section shall be carrying on propaganda, and the Hawaii Section
shall not participate in, or intervene in (including the publishing or
distributing of statements), any political campaign on behalf of any candidate
for public office.
Section 2. Upon dissolution
of the Hawaii Section the assets remaining after the payment of the debts
of the Hawaii Section shall be distributed to such corporation, community
chest fund, or foundation, organized and operated exclusively for religious,
charitable, scientific, testing for public safety, literary or educational
purposes, or for the prevention of cruelty to children or animals, which
would than qualify under the provisions of Section 501 (c) (3) of the Internal
Revenue Code, as they now exist or as they may hereafter be amended, as
the Board of Directors shall have designated and in the absence of such
designation they shall be conveyed to the American Society of Civil Engineers.
BY LAWS
ARTICLE I. DUES
Section 1. The annual Hawaii
Section dues for other than life and honorary members shall be twenty dollars
($20.00) payable in advance of January 1st. Life and honorary members
shall be exempt from annual Hawaii Section dues. New members entering
after June 1st and student members shall pay half the annual Hawaii Section
dues for that year. The Executive Committee may waive Hawaii Section
dues of new members.
ARTICLE II. OFFICERS, TERMS,
AND VACANCIES
Section 1. Officers shall
serve for terms of one year. Terms shall commence with assumption
of office at the Annual Meeting and shall continue until the successors
are elected and installed.
Section 2. A vacancy in the
office of President shall be filled by the President-elect, and a vacancy
in the office of President-Elect shall be filled by the Vice-President.
Other vacancies shall be filled for the unexpired term by appointment by
the Executive Committee.
Section 3. No member shall
serve in one elected office for more than two successive elected terms.
ARTICLE III. NOMINATION AND
ELECTION OF OFFICERS
Section 1. A Nominating Committee,
consisting of the three latest resident past presidents, shall choose one
or more candidates for election to each office, except the office of President,
prescribed by the Constitution and obtain the consent of the nominees to
serve if elected.
Section 2. Officers shall
be elected at a regular meeting held within the last 60 days of the fiscal
year ending September 30. Members shall be notified by letter or
published notice of the date of the election meeting. Election shall
be by all members present at the election meeting, except in the case of
the Younger Member Forum President, who shall be elected by only the younger
members present at the same meeting.
Section 3. Only members of
the Hawaii Section shall be eligible for election. For each office
the candidate receiving the highest number of votes cast shall be declared
elected.
ARTICLE IV. MEETINGS
Section 1. Notice of each
meeting of the Hawaii Section shall be sent to each member of the Hawaii
Section.
Section 2. Forty members
shall constitute a quorum for voting upon any business of the Hawaii Section.
ARTICLE V. COMMITTEES
Section 1. Committees deemed
necessary from time to time shall be appointed by the President.
Section 2. The following
standing committees may be appointed each year: Auditing; Younger Member
Forum; Local Legislative Affairs; Membership; Practitioner Advisors; Hospitality;
History and Heritage; Awards; Newsletter; Outreach; Webmaster, and Scholarship.
ARTICLE VI. ESTABLISHMENT
OF TECHNICAL DIVISION
Section 1. Upon petition
by at least fifteen Hawaii Section members, the Executive Committee, with
the approval of the Board of Direction of the Society, may establish one
or more Technical Divisions, which shall conform with the current provisions
set forth by the Society.
ARTICLE VII. YOUNGER MEMBER
FORUM
Section 1. All members of
the American Society of Civil Engineers, Hawaii Section in good standing
and 35 years of age and younger shall also be members of the Younger Member
Forum.
Section 2. The Younger Member
Forum shall promote greater interest in the American Society of Civil Engineers,
Hawaii Section among Younger Members.
Section 3. The Younger Member
Forum President shall appoint officers of the Younger Member Forum.
The terms of such officers shall be one year and shall begin on the first
of October.
Section 4. Activities of
the Younger Member Forum shall comply with the Constitution and By-Laws
of the American Society of Civil Engineers, Hawaii Section.
ARTICLE VIII. ADOPTION OF
OR AMENDMENTS TO BY-LAWS
Section 1. By-Laws may be
adopted or amended only by the following procedure:
(a) The proposed by-law or
amendment shall be voted by the members at a meeting of the Hawaii Section
or by mailout ballot. Notice of proposed by-law or amendment shall
be sent to all members of the Hawaii Section by letter or published notice.
(b) It shall receive an affirmative
vote of not less than a majority of the members voting.
(c) To become effective it
shall receive the approval of the Board of Direction of the Society. |
